Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at carbonstudios.dev (the "Site"), operated by Carbon Studios, a software and web development studio based in Utah, USA ("Carbon Studios," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptable use

You may use the Site for lawful purposes only. You agree not to:

• use the Site in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• interfere with or disrupt the Site's operation, security, or availability;
• upload or submit malware, executable files, or malicious code;
• use automated means to scrape, harvest, or overload the Site; or
• submit false, misleading, or infringing information through our forms.

When sharing materials with us through the Site or during an engagement, please provide view-only links to your assets rather than files or executables.

2. Quotes and pricing are estimates

Any prices, packages, quotes, or estimates shown on the Site are provided for general informational purposes only. They are estimates, not binding offers, and may change at any time. Nothing on the Site constitutes a contract, an offer capable of acceptance, or a commitment to perform services at a stated price.

3. Paid engagements are governed by a separate agreement

These Terms govern use of the Site only. Any paid work performed by Carbon Studios is governed by a separate, signed Master Services Agreement (MSA) and associated Statement of Work, which is executed before work begins. These Terms do not replace, modify, or supersede that agreement. If there is a conflict between these Terms and a signed MSA regarding paid work, the MSA controls.

4. Intellectual property

The Site and its contents — including text, graphics, logos, the hexagon brand device, layout, design, and code — are owned by Carbon Studios or its licensors and are protected by intellectual property laws. You may not copy, reproduce, republish, distribute, or create derivative works from the Site's content without our prior written permission, except as permitted by applicable law for personal, non-commercial reference.

5. No guarantee of business results

Carbon Studios does not warrant or guarantee any specific business outcome. We make no promise regarding lead volume, search engine rankings, traffic, conversions, revenue, or any other business result. Any examples, case studies, or figures presented on the Site are illustrative and are not a prediction or guarantee of your results.

6. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, secure, error-free, or free of harmful components. Your use of the Site is at your own risk.

7. Limitation of liability

To the fullest extent permitted by law, Carbon Studios and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability relating to the Site is limited to one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot lawfully be limited.

The Site may contain links to third-party websites or rely on third-party services (for example, scheduling, form, email, or analytics providers). We do not control and are not responsible for the content, policies, availability, or practices of any third-party site or service. These Terms are governed by and construed in accordance with the laws of the State of Utah, USA, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Utah.
